Terms of Service
These are the terms that apply when you hire Latent Media LTD. They sit alongside, and don’t replace, any signed proposal or Statement of Work we agree with you directly, which takes priority if the two ever disagree.
The short version
- 01One-time projects are paid in full upfront. Nothing goes live until payment has cleared.
- 02Fees are non-refundable once work has started, except if we fail to deliver through our own fault.
- 03You own the finished work once it’s paid for in full. We keep our own tools and templates.
- 04These terms are governed by the law of England and Wales.
The company you’re engaging
Latent Media LTD is a private limited company registered in England and Wales, company number 16833485, registered office Office 15468, 182-184 High Street North, East Ham, London, E6 2JA. These terms apply whenever you instruct us to carry out work, whether that’s confirmed by a signed proposal, a Statement of Work, or in writing over email.
The six systems, and what’s in scope
We offer branding and brand starter kits, carousels and social content, websites and hosting, video editing, scripting, and newsletter systems, either as one-time projects or as ongoing monthly services. What’s actually included in your project is set out in the proposal or Statement of Work we agree with you before work begins. Anything not listed there is out of scope and quoted separately if you want it added.
When an engagement begins
A project begins once we’ve agreed its scope and, for anything beyond a small piece of work, once you’ve signed a proposal or Statement of Work referencing these terms. Any request to add features, pages, or scope beyond what was agreed will be assessed by us and, where it involves extra cost, confirmed with you in writing before we start on it.
How and when you pay
- One-time projects: 100% of the project fee is due and must be received in full before we begin work, and before anything is deployed live or handed over.
- Ongoing services (management, retainers, and similar monthly work): invoiced in advance, due within 14 calendar days of the invoice date.
- Additional or out-of-scope work: quoted separately and due in full before that additional work starts.
What happens if an invoice runs late
Payment delays happen. If an invoice goes unpaid past its due date, we’ll contact you first to sort it out. If it’s still unpaid 21 calendar days after the due date despite reasonable follow-up, we reserve the right to pause active work and any ongoing services until the balance is settled, and interest may be applied at up to 1% per month on the overdue amount.
Where you stand if plans change
Because one-time project fees are collected in full upfront, they’re non-refundable once work has started on the relevant project, with one exception. If we fail to deliver through no fault of yours, for example if we cease trading or abandon the project without reasonable cause, you’re entitled to a pro-rated refund for the portion of the fee corresponding to work not completed. We’ll account for the work done within 10 business days of a written request, and issue any refund within 21 calendar days of agreeing the amount.
If you cancel a one-time project after paying, that doesn’t itself entitle you to a refund. We’ll hand over everything completed up to that point, and any remaining scope may, at our discretion, be offered as a credit toward future work.
Ongoing services can be cancelled by either of us with 30 calendar days’ written notice. Fees for that notice period remain payable.
What’s included before something goes live
Each website build includes two rounds of revisions before go-live. Each brand starter kit includes one. A revision round is a single, consolidated set of written changes you send us in response to a milestone. Further rounds, new features, or changes arising from new materials supplied after a milestone has already been delivered are scoped and quoted separately.
Who owns what, and when
Once we’ve received all fees due for a project in full, we assign to you all intellectual property rights in the deliverables we made for that project, including site code, design assets, and written content. That assignment doesn’t take effect until payment has cleared. Before that point, we retain ownership of work in progress.
We keep our own rights in our pre-existing tools, frameworks, templates, and know-how. Where a deliverable incorporates any of that, we grant you a perpetual, royalty-free licence to keep using it as part of your project, without the right to extract or reuse it independently.
Anything you supply us, photos, copy, logos, and other materials, stays yours. We use it only to build and deliver your project.
Unless you ask us in writing not to, we may show completed work in our own portfolio, on this site, and across our own marketing and social channels.
What we promise, and what we don’t
We warrant that deliverables are created with reasonable care and skill. We don’t warrant any specific search ranking, traffic level, lead volume, or business outcome, since results depend on a lot outside our control, and any projections we give you are illustrative, not a guarantee.
For 30 calendar days after a deliverable goes live, we’ll fix, at no additional charge, any defect that’s attributable to our work and reported to us in writing within that period. This doesn’t cover changes made by you or a third party after go-live, third-party platform outages, or new feature requests.
Where the ceiling sits
To the maximum extent permitted by law, our total liability to you under these terms, however it arises, is limited to the fees you’ve paid us in the three months immediately before the event giving rise to the claim. We’re not liable for loss of profits, loss of revenue, loss of business, loss of anticipated savings, loss of data, or any indirect or consequential loss. Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
Keeping what’s yours, yours
Each of us agrees to keep the other’s non-public business, technical, and financial information confidential, and to use it only for the purpose of the project. This doesn’t apply to information that becomes public through no fault of the receiving party, or where disclosure is required by law.
Independent contractor, not your agent
We work with you as an independent contractor. Nothing in these terms creates an employment, partnership, or agency relationship between us. We have no authority to sign contracts, make commitments, or otherwise bind you without your prior written authorisation.
England and Wales
These terms, and any dispute arising out of or in connection with them, are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction over any such dispute.
We’ll post updates here
We may update these terms from time to time. Changes take effect from the date they’re posted on this page. The terms in force when a specific project was agreed continue to govern that project unless we agree otherwise in writing.
